Welcome to Praecepta. These Terms of Service ("Terms") govern your access to and use of the Praecepta platform, including our website, applications, and AI tutoring services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service before the changes take effect. Your continued use of the Service after such notice constitutes acceptance of the updated Terms.
You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you are at least 13 years old. Users under 13 are not permitted to create accounts or use the Service in compliance with the Children's Online Privacy Protection Act (COPPA).
If we determine that a user is under 13, we will immediately delete their account and all associated data without prior notice.
Praecepta provides an AI-powered tutoring platform designed to help users learn and understand academic subjects through natural conversation and visual learning tools. The Service includes text-based and voice-based interactions with an AI tutor, a visual canvas for diagrams and exploration, and personalized learning assistance. The AI tutor is designed to adapt to your learning style and help you develop deep understanding of subjects.

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.
Praecepta offers both free and paid subscription tiers:
Free Tier: Includes 100 text turns per month and 10 voice sessions per month. Usage resets on the first day of each calendar month.
Praecepta Plus: Available as a Monthly plan ($25/month) or an Annual plan ($200/year, billed upfront). Subscriptions auto-renew unless canceled before the end of the current billing period.
Payment Processing: All payments are processed through Stripe. Praecepta does not store your payment card information.
Cancellation: You may cancel your subscription at any time via your account settings (Stripe Customer Portal). Your access to paid features continues until the end of your current billing period. No prorated refunds are issued for partial periods.
Payment Failure: If a payment fails, you will retain access until the end of your current billing period, after which your account reverts to the free tier. Stripe handles payment retry logic automatically.
Price Changes: We will provide at least 30 days notice via email before any price changes take effect. Existing subscribers remain at their current price until the next renewal after the notice period.
Refunds: Refund requests are handled on a case-by-case basis. Contact [email protected] for assistance.
Effect of Cancellation on Data: Canceling your subscription does NOT delete your data. Your learning history, canvas content, and account remain accessible on the free tier.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:
Our Property: The Service, including all content, features, functionality, AI models, software, and design, is owned by Praecepta LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.
Your Content: You retain ownership of the content you create through the Service, including your learning notes, canvas creations, and conversation inputs. By using the Service, you grant us a limited license to use, store, and process your content solely to provide and improve the Service.
Feedback: If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction or compensation to you.
Your privacy is important to us. Our collection and use of personal information is described in our Privacy Policy. By using the Service, you consent to our collection and use of information as described in the Privacy Policy. This includes the processing of voice data (transcriptions) when you use voice features, as detailed in our Privacy Policy.
Important: The AI tutor may make mistakes. AI-generated content is provided for educational purposes only and should not be considered professional, medical, legal, or financial advice.
You acknowledge and agree that:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRAECEPTA LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
You agree to indemnify, defend, and hold harmless Praecepta LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of another party.
Informal Resolution: Before initiating any formal dispute proceedings, you agree to contact us at [email protected] to attempt to resolve any dispute informally. We will attempt to resolve the dispute within 30 days.
Binding Arbitration: If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall take place in the State of Maryland. The arbitrator's decision shall be final and binding.
Class Action Waiver: YOU AND PRAECEPTA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.
Small Claims Exception: Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdiction.
You may terminate your account at any time by using the account deletion feature in your settings or by contacting us at [email protected].
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include, but are not limited to:
Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Service and delete your account.
These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Maryland.
Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Praecepta regarding the Service and supersede all prior agreements.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
